These Sale Terms and Conditions (Sale Terms) govern the agreement between the Member who lists an Item for sale (Seller) and the Member who purchases that Item (Buyer) via the U-Crew Platform. These Sale Terms are to be read in conjunction with U-Crew’s Platform Terms and Conditions. U-Crew provides a facilitative role and is not a party to any Sale Agreement.
1. Introduction and Acceptance
By using the U-Crew Platform, you acknowledge that you have read, understood, and agree to be bound by these Sale Terms. In the event of any inconsistency between these Sale Terms and the Platform Terms and Conditions, the Platform Terms shall prevail.
2. Prohibited or Restricted Items
The sale of Items that are illegal, hazardous, or otherwise prohibited by law or by Clause 6 of the Platform Terms is strictly forbidden. Sellers are responsible for ensuring compliance with all applicable laws and regulations.
3. Sale Agreement
A binding sale agreement is formed when both parties accept a Proposal through the Platform. The Seller agrees to sell, and the Buyer agrees to purchase the Item as specified in the accepted Listing. Title to the Item passes to the Buyer upon delivery and confirmation of receipt. The Seller represents and warrants that:
The transaction is deemed complete when payment is confirmed received by the Seller and the Buyer acknowledges receipt of the Item in accordance with the Listing description.

4. Fees and Payment
Total Fees, including applicable Taxes and Service Fees, must be paid through U-Crew at the time of order confirmation. U-Crew collects payment and remits it to the Seller, less applicable Commissions.

4.1. Fee Schedule
The following table outlines standard fees applicable to sale transactions conducted through the U-Crew Platform. These fees are subject to change in accordance with Clause 20.2 of the Platform Terms and Conditions. All fees are inclusive of applicable taxes unless otherwise stated.

U-Crew may deduct applicable fees from the Total Fees collected before remitting the balance to the Seller. Invoices detailing all applicable charges will be made available to Members upon completion of each transaction.
5. Taxes
The Seller is responsible for determining, collecting, and remitting any applicable taxes unless otherwise specified or required by law.

6. Item Condition and Warranty
The Seller represents that the Item is accurately described in the Listing, including its condition and any known defects. The Item is sold "as-is" unless otherwise stated. U-Crew disclaims all warranties.

7. Delivery, Risk, and Methods
The Seller must deliver or make the Item available for collection as specified in the Listing. Risk passes to the Buyer upon confirmed delivery or collection. The Buyer must inspect the Item and confirm its condition before taking possession.

8. Cancellations and Returns
Returns and cancellations are permitted only as outlined in the Listing. Buyers may request a refund if the Item is defective or not as described, subject to U-Crew’s review.

9. Termination, Disputes and Remedies
In case of a dispute, parties must first attempt resolution via the Platform. If unresolved within 7 days, either party may request U-Crew’s assistance. U-Crew will review evidence and issue a final, binding decision within 14 days.

9.1. Consequences of Material Breach
U-Crew may suspend or terminate accounts, withhold payments, and take further action in response to a material breach.
10. Limitation of Liability and Indemnity

To the extent permitted by law, neither party is liable for indirect or consequential loss.

10.2. Mutual Indemnification
Each party (the Indemnifying Party) agrees to indemnify and hold harmless the other party (the Indemnified Party) from and against all claims, damages, losses, and expenses (including reasonable legal fees) arising from:

Each party must promptly notify the other of any claim for which indemnification is sought and cooperate in the defense of such claim.
11. Force Majeure
Neither party is liable for delays due to events beyond their control. U-Crew determines whether a force majeure event has occurred.
12. Communication and Off-Platform Transactions
All sale-related communications must occur via the Platform. Off-platform transactions are prohibited and may result in account suspension.
13. Miscellaneous
These Sale Terms are subject to change by U-Crew. Updated versions will be posted on the Platform. Any clause deemed invalid will not affect the remainder of the Sale Terms. Time is of the essence for all obligations.
14. Intellectual Property
Sellers warrant that uploaded content does not infringe third-party rights. U-Crew may remove infringing content.
15. Privacy and Data Use
Personal information is handled in accordance with U-Crew’s Privacy Policy.
16. Legal Provisions
Nothing in these Sale Terms limits rights under the Australian Consumer Law.

If any provision of these Sale Terms is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions will remain in full force and effect.
These Sale Terms are subject to change by U-Crew. Updated versions will be posted on the Platform. Any clause deemed invalid will not affect the remainder of the Sale Terms. Time is of the essence for all obligations.
